Access to and use of the Fashion Confidential website is provided by Fashion Confidential Limited a company registered in England and Wales (Company Number 5713584) (“Fashion Confidential”) subject to the following terms.
General
1. Thank you for accessing www.fashionconfidential.co.uk (the “Site”). Please read these terms and conditions (the “Terms”) carefully. They govern your use of this Site. By accessing and using the Site and/or registering as a user you the user (“You and Your”) agree to the Terms that appear below.
2. These Terms constitute a legally binding agreement between You and FashionConfidential. If You do not agree to these Terms please do not use and register with the Site. Our Privacy Policy governs FashionConfidentials use of any information about You that You submit to the Site and forms part of these Terms.
3. These Terms were last updated in March 2006. FashionConfidential reserves the right to change any of the Terms at any time by posting changes on the Site. Please review these Terms regularly to ensure you are aware of any changes made by FashionConfidential. Your continued use of the Site after these changes have been posted means that you agree to be legally bound by those Terms as amended.
Use of the Site
1 . You will be able to access material in some areas of the Site without becoming a member of FashionConfidential. However, certain areas of the Site are only open to You if You are a registered member. You are responsible for keeping your password confidential and You must immediately notify FashionConfidential if you suspect unauthorised use of it.
2. You agree that You will not use any script, software or other device to access, monitor or copy the Site or impede or otherwise interfere with its normal functioning.
3. You further agree that You will not engage in any conduct that restricts or inhibits any other person from enjoying or using the Site and that You will not in any way damage, disable or attempt to gain unauthorised access to the Site or to networks connected to the Site through hacking, spoofing or other such means.
4. You will not upload any files that contains viruses, worms, cancel bots, “Trojan Horses” or any other such destructive features onto this Site.
5. FashionConfidential reserves the right to suspend or terminate Your access and use of the Site at any time. It may exercise this right with or without notice. At FashionConfidential’s sole discretion it may notify You at Your e-mail address as supplied to FashionConfidential. In that event, notice will be deemed to be served four (4) hours after transmission or posting of such e-mail notice.
Use of Content
1. All material on the Site including, but not limited to, text, content, software, video, music, sound, graphics, photographs, illustrations, artwork, names, logos, trade marks, and other such material (the "Content") belongs to FashionConfidential or its licensors and is protected by copyright, database right, trade mark law and/or other proprietary rights. You acquire no rights or licences in or to the Site and/or Content other than the limited right to use the Site in accordance with these Terms.
2. Except as expressly set out below, You may not copy, reproduce, republish, recompile, distribute, decompile, disassemble, reverse engineer, modify, change, post, broadcast, transmit or in any other way, electronically or otherwise, commercially exploit any part of the Site and/or the Content. In particular, without limiting the general application of the restrictions contained in the preceding sentence, You may not without FashionConfidential’s prior written permission:
2.1 redistribute any of the Content;
2.2. remove the copyright or trade mark notice from any copies of Content made under these Terms;
2.3 create a database in electronic or structured manual form by systematically downloading and storing all or any of the Content.
3. You may retrieve and display Content from the Site on a computer screen, print individual pages on paper (but not photocopy them) for Your personal, non-commercial use. Any download and/or printed copy should retain all copyright notices and You shall remain bound by the terms of such wording and notices.
4. You agree to promptly notify FashionConfidential in writing if You become aware of any unauthorised access to or use of the Site by any party or of any claim that the Site or any of the Content of the Site infringes any copyright, database right, trade mark or other contractual, statutory or common law rights of any party.
5. Whilst we have tried to ensure that all information FashionConfidential provides through this Site is correct at the time it is included on the Site, FashionConfidential does not guarantee or give any warranty as to the accuracy, timelines or completeness of any of the Content. You are advised to verify the accuracy of any information before relying on it.
6. No responsibility is accepted by or on behalf of FashionConfidential for any errors, omissions, or misleading (excluding fraudulent) statements on this Site.
Limitation of Liability and Disclaimer
1. The Content including the information, names, images, pictures, logos and icons regarding or relating to FashionConfidential and its related companies is provided on an "as is" and "as available" basis without any representation or any kind of warranty made (whether express or implied by law) to the extent permitted by law. FashionConfidential does not guarantee the accuracy, timeliness, completeness, performance, satisfactory quality or fitness for a particular purpose of the Site or any Content.
2. FashionConfidential may depend on third parties in respect of some of the services referred to and/or included on the Site. As such FashionConfidential shall have no liability whatsoever to you for any interruptions or failure in access to any services provided by such third parties.
3. FashionConfidential will not be liable for any losses, costs, claims or damages, (whether direct or indirect) including without limitation, damages for loss of profits (which includes, but is not limited to, loss of business revenue, loss of anticipated savings, loss of data and loss or waste of management time) arising in contract, tort (including negligence) or otherwise from Your access to or use, or inability to use the Site or any Content or from any action taken (or refrained from being taken) made in reliance on the information contained in or as a result of using the Site or any Content.
4. You agree to indemnify, defend and hold harmless each of FashionConfidential’s employees, representatives and agents, from and against any claims, actions, demands or other proceedings brought against FashionConfidential, its employees, representatives or agents, by a third party, to the extent that such claim, suit, action or other proceeding brought against FashionConfidential, its employees, representatives, suppliers, or agents is based on or arises in connection with:
4.1 Your unauthorised or illegal use of the Site; or
4.2 Any breach by You of these Terms.
5. These Terms do not affect any statutory rights that You or a third party may have as a consumer.
Joining Us
1. The minimum criteria to join FashionConfidential or receive any of our services is to provide us with person details (name, valid email address, password and location) that are true and current, and that you agree to update if at any time your personal details change by using the appropriate functions in the "Your Account" section of the website.
2. We may refuse any application to join FashionConfidential.
Privacy Policy
1. All personal information You submit to FashionConfidential is used by FashionConfidential in strict accordance with our Privacy Policy.
Linking
1. The Site may contain links to third party web sites. FashionConfidential is not responsible for the availability, privacy practices or content on such web sites.
2. You may not frame or deep-link (include a link to any page which is not the Home page) to this web site to any other web site, without FashionConfidential’s prior written permission.
Competitions
1. From time to time FashionConfidential may run competitions on this Site which may be run in conjunction with third parties. Your participation in such competitions will be governed by specific terms and conditions, which will be made available to You at the relevant point on this Site.
2. For all other purposes these Terms shall apply to Your use of the Site. In the event of any conflict between these Terms and the terms and conditions governing Your entry into any such competition, those terms and conditions shall prevail.
Assignment by Us
1. You agree that we may assign any of the rights and/or transfer, sub-contract or delegate any of our obligations under these Terms.
Events Beyond Our Control
1. FashionConfidential will not be responsible for any breach of these Terms caused by circumstances beyond our reasonable control.
General
1. You may not assign, sub-license or otherwise transfer any of Your rights under these Terms.
2. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
3. Failure by either party to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
4. No agency, partnership, joint venture, employer/employee relationship is intended or created by these Terms.
5. These Terms shall constitute the entire agreement between FashionConfidential and You. All prior agreements, understandings, negotiations or representations (save for fraudulent misrepresentations) whether oral or in writing are superseded or cancelled in their entirety. The terms of any other electronic communications shall not form part of these Terms.
6. These Terms (including the Privacy Policy and the Competition Terms) shall be governed by, and construed in accordance with, English law and are subject to the exclusive jurisdiction of the English Courts.
Competition Terms and Conditions
The following competition terms and conditions (the “Competition Terms”) will apply to all of FashionConfidential’s competitions including those on the www.fashionconfidential.co.uk website (the “Competition”) unless expressly stated. By entering the Competition you agree to be bound by the Competition Terms and the terms of the Privacy Policy.
FashionConfidential reserves the right to cancel or amend the Competition and/or the Competition Terms at any time without prior notice. Any changes to the Competition or the Competition Terms will be made available on the www.fashionconfidential.co.uk website.
FashionConfidential’s decision is final. No correspondence will be entered into.
Qualifying Entrants
1. All entries into the my-wardrobe.com competition must be received by 12pm on 30 April 2008.
2. The winner will receive a voucher entitling them to £2,000 to spend at my-wardrobe.com before 30 April 2009.
3. By also registering to receive the my-wardrobe.com newsletter you will receive a 10% discount voucher off all non-sale items on my-wardrobe.com. This voucher is valid until 12pm on 30 April 2008.
4. Any entrants under the age of 18 must obtain parental consent prior to entering the Competition.
5. There is no purchase requirement to enter the Competition and there is no charge to register for use of the www.fashionconfidential.co.uk website or the www.my-wardrobe.com website. All entries to the Competition must include a valid email address, full name, password and location.
6. By entering the Competition you warrant that all the information submitted by you is true, current and complete. FashionConfidential reserves the right to verify the eligibility of all entrants.
7. The winner of the Competition will be the first entry randomly drawn after the closing date from all the entries received.
8. The winner will be notified by email within 28 days from the Competition closing date from the personal information provided to FashionConfidential. In the event that the winner cannot be contacted within the period set out above FashionConfidential reserves the right to choose another winner at random.
9. The prize must be claimed within 28 days of notification from FashionConfidential. Failure to collect the prize within this time frame may result in the selection of an alternative winner.
10. Prizes are non-transferable and there is no cash alternative. The winner consents to be available for and participate in, any public relations arranged by Fashion Confidential and/or my-wardrobe.com.
11. Entrants have further opportunities to win the Competition by provided the valid email addresses of friends who may be interested in FashionConfidential. Each valid email address provided to FashionConfidential will account for one further entry into the Competition on behalf of the entrant. There is no limit to the number of valid email addresses which can be supplied to FashionConfidential.
12. FashionConfidential reserves the right to disqualify any entrant if it has reasonable grounds to believe the entrant has breached any of the Competition Terms.
13. FashionConfidential cannot accept responsibility for any entries lost, delayed, misdirected, damaged or undelivered. FashionConfidential is not responsible for any technical errors in internet access or otherwise preventing entry to the Competition.
14. FashionConfidential is not responsible for any problems or technical malfunction of any computer online system, software failure and traffic congestion on the network as a result in participation in the Competition.
15. Any personal data relating to entrants will be used solely in accordance with current UK data protection legislation.
16. The Competition and the term and conditions of this agreement will be governed by the laws of England and the courts of England have exclusive jurisdiction in relation to any disputes arising from this dispute.
